These Terms and Conditions ("Terms") form a binding agreement between you ("you," "your," or "Member") and Neuro Group LLC, operating the Neuroptima Performance Lab ("NPL," "Neuroptima," "Company," "we," "us," or "our"), a limited liability company organized under the laws of Wyoming, with a principal place of business at 7205 Hancock Ct Unit 1E, Davenport, IA 52806. These Terms govern your access to and use of neuroptima.gg and any related websites, applications, Discord servers, coaching sessions, clinical consultations, bootcamps, content, and services we make available (collectively, the "Services").

By creating an account, subscribing to a membership tier, enrolling in a bootcamp, booking a coaching or clinical session, or otherwise using the Services, you agree to these Terms, our Privacy Policy (incorporated by reference), and any tier-, program-, or session-specific terms presented to you at checkout. If you do not agree, do not use the Services.

The Services include three distinct offerings, each addressed specifically below: (a) the monthly membership program, sold in tiers (Entry, Middle, and High); (b) fixed-term, cohort-based bootcamps; and (c) individually booked 1:1 sessions with gaming coaches and with independent, credentialed health and performance clinicians. Different terms apply to each, as set out in Sections 5 through 9.

2. Eligibility, Minors, and Parental Consent

2.1 Minimum Age. You must be at least 13 years old to create an account or use the Services in any capacity. We do not knowingly collect personal information from anyone under 13, consistent with the Children's Online Privacy Protection Act ("COPPA"). If we learn that a user under 13 has provided us information, we will delete it and terminate the associated account.

2.2 Users Age 13-17. Neuroptima serves competitive and collegiate video game players, many of whom are minors. Access for this age group is a two-step process:

Step 1 — Account Creation. A parent or legal guardian must create and hold the account, complete registration, and accept these Terms and our Privacy Policy on the minor's behalf. The parent or guardian is the contracting party for billing, cancellation, and dispute purposes, and is responsible for all charges incurred on the account. We may request reasonable verification of parental identity and relationship (for example, a confirmed email exchange, a payment method in the parent's name, or a signed consent form) before activating a minor-linked account.
Step 2 — Separate Clinical/Coaching Consent. Acceptance of these Terms at Step 1 does not, by itself, authorize the minor to participate in a 1:1 clinical consultation or a live coaching session involving voice or video contact. Before the minor's first such session, the parent or guardian must complete a distinct consent step specific to that session type, presented separately from the general Terms acceptance, confirming they understand who the minor will be speaking with, the nature of the session, and the limits described in Section 6. We may ask the parent or guardian to remain reasonably available during the minor's clinical sessions or to complete a brief intake step first.

2.3 Adults. If you are 18 or older, you represent that you have the legal capacity to enter into these Terms in your own right.

2.4 Accuracy. You agree to provide accurate registration information and to keep it current, including for age-verification purposes.

3. Accounts

3.1 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at performance@neuroptima.com of any unauthorized use.

3.2 We may suspend or terminate accounts that violate these Terms, misrepresent age or identity, or engage in conduct that endangers other Members, Coaches, or Practitioners (each as defined below).

4. Description of Services

Neuroptima Performance Lab combines competitive gaming coaching with a multidisciplinary performance-health team. Depending on the tier or program purchased, the Services may include: live group coaching calls; VOD (video-on-demand) review sessions; access to a content library of guides and protocols; performance-tracking templates; access to private Discord communities; live 10-man scrims with coaching; health-professional workshops; and 1:1 bookings with gaming coaches and independent clinicians. Specific inclusions for each tier and program are described on the pricing page in effect at the time of your purchase and are incorporated into these Terms by reference. We may modify, add, or discontinue specific features of a tier prospectively, provided that we will not materially reduce the core benefits of a paid tier during a Member's then-current billing period without notice.

5. Independent Contractor Coaches and Clinicians; Marketplace Structure

5.1 Nature of the Relationship. The gaming coaches and health/performance clinicians who deliver services through the Platform (each a "Coach" or "Practitioner," collectively "Providers") are independent contractors. They are not employees, partners, joint venturers, or agents of Neuroptima. Neuroptima does not supervise, direct, or control the manner in which a Provider performs a session, and no Provider has authority to bind Neuroptima to any obligation.

5.2 Neuroptima's Role. Neuroptima operates a platform that markets Provider services, facilitates scheduling, and collects payment on behalf of Providers. When you purchase a 1:1 session, workshop seat, or add-on such as a VOD review, Neuroptima acts as a limited payment collection agent for the Provider; the Provider is separately compensated by Neuroptima under its own independent contractor arrangement with us. Your contract for the substance of that particular session is with the individual Provider, not with Neuroptima.

5.3 Provider Responsibility. Each Provider is solely responsible for: the professional quality, content, and delivery of the session or consultation they provide; holding and maintaining any license, certification, or insurance required to lawfully provide their services, including in your state or jurisdiction; and complying with the applicable professional, ethical, and scope-of-practice rules of their discipline. Neuroptima does not practice medicine, psychology, dietetics, chiropractic, or any other licensed health profession, and nothing on the Platform should be understood as Neuroptima rendering such services directly.

5.4 No Guarantee of Multi-State Licensure. Health professionals licensed in one state are generally not authorized to render clinical services (including telehealth) to residents of every other state. Before booking a clinical consultation, you are responsible for confirming with the Practitioner, or asking us to confirm, that they are authorized to provide services to someone located in your state at the time of the session. Neuroptima does not warrant that any given Practitioner is licensed in your jurisdiction.

5.5 Endorsements and Social Media. Coaches and Practitioners may promote Neuroptima, including on their own social media, as part of a compensated relationship with us. Where required by FTC guidance, such promotions will identify that relationship (for example, as a sponsored partner, affiliated coach, or similar). If you believe a Provider has promoted the Platform without adequate disclosure, please notify us at performance@neuroptima.com.

5.6 No Vicarious Liability. Except to the extent caused by Neuroptima's own negligence in operating the Platform (for example, matching, scheduling, or payment-processing errors within our control), Neuroptima is not responsible for the acts, omissions, advice, or professional judgment of any Provider. See Section 15 (Limitation of Liability) and Section 16 (Indemnification).

6. Not Medical Advice; Health, Safety, and Clinical Disclaimer

6.1 General Disclaimer. The Services, including content library materials, tracking templates, coaching calls, and workshops, are intended for general educational, coaching, and performance-support purposes only. They are not a substitute for professional medical, psychological, nutritional, or chiropractic diagnosis or treatment, even when delivered by a licensed clinician through the Platform.

6.2 1:1 Clinical Consultations. When you book a 1:1 session with a credentialed Practitioner, that Practitioner may, at their professional discretion, form an individual clinical or therapeutic relationship with you that exists between you and the Practitioner directly, governed by their own informed consent, intake, and recordkeeping practices, and not by these Terms. Records the Practitioner creates in connection with that relationship are theirs to maintain and are not stored or controlled by Neuroptima. If a client’s relationship with a Provider is born or re-sparked through Neuroptima, the Performance Lab, or any related services, future 1:1 calls with the Provider must be booked through Neuroptima for as long as the services are offered on the platform.

6.3 No Emergency Services. Neuroptima is not equipped to respond to medical or psychiatric emergencies. If you or someone else is in crisis or in danger, call 911 (or your local emergency number) or contact the 988 Suicide & Crisis Lifeline (call or text 988 in the United States). Do not rely on coaching calls, Discord, or asynchronous messages for emergency response.

6.4 Assumption of Risk. Participation in coaching, training guidance, or performance protocols carries inherent risk, including physical strain from any recommended exercise or lifestyle changes. You voluntarily assume these risks and agree to consult an appropriate licensed professional before making significant changes to diet, exercise, sleep, or medication based on content obtained through the Services.

6.5 Supplement Content. To the extent the Services reference or provide discounts on Neuroptima-branded supplement products, those products are dietary supplements that have not been evaluated by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease. Consult a physician before use, particularly if you are a minor, pregnant or nursing, taking medication, or managing a medical condition.

7. Membership Subscriptions (Entry, Middle, High Tiers)

7.1 Recurring Billing. Membership tiers may be sold on a recurring subscription basis (monthly for Entry tier; bi-monthly, i.e., every two months, for Middle and High tiers, or as otherwise stated at checkout). By subscribing, you authorize us (or our payment processor) to automatically charge your payment method at the start of each billing cycle until you cancel.

7.2 Cancellation. You may cancel at any time through your account settings or by contacting performance@neuroptima.com. Cancellation takes effect at the end of your then-current billing cycle; you will retain access through that period, and we do not provide prorated refunds for partial periods except as required by law or as stated in Section 10.

7.3 Auto-Renewal Disclosure. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AND YOUR PAYMENT METHOD WILL BE CHARGED AT THE START OF EACH BILLING CYCLE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. We will provide any advance notice of price changes or material term changes required by applicable state auto-renewal laws before they take effect on your account.

7.4 Founding Member Price Lock. Members who enroll during a designated "Founding Member" launch window will retain their enrollment price for as long as they maintain continuous, active enrollment in that tier without a lapse or downgrade. A lapse in billing, voluntary cancellation, or downgrade to a lower tier ends the locked rate; re-subscribing later will be at the then-current price. We will describe any additional conditions on the applicable pricing or promotion page at the time of signup.

7.5 Tier Changes. You may upgrade or downgrade your tier at any time, effective at the start of the next billing cycle unless otherwise stated. Upgrading may prompt an immediate prorated charge, disclosed to you before you confirm the change.

7.6 Price Changes. We may change subscription pricing prospectively for future billing cycles, subject to the notice required by Section 7.3 and, for Founding Members, Section 7.4.

8. Bootcamps (Fixed-Term Programs)

8.1 Structure. Bootcamps are fixed-term, cohort-based programs (for example, an 8-week format) that begin and end on defined dates and are not subscriptions. Enrollment is a one-time purchase for a specific cohort unless stated otherwise.

8.2 Enrollment Windows and Cohort Size. Bootcamps may have limited enrollment, application steps, or minimum cohort sizes. We may cancel or reschedule a cohort that does not reach minimum enrollment, in which case enrolled participants will receive a full refund or the option to transfer to a later cohort.

8.3 Missed Sessions. Bootcamps proceed on a fixed schedule tied to the cohort. Missed live sessions may be available as recordings where applicable, but the bootcamp price is not reduced or refunded for sessions a participant does not attend.

8.4 Cancellation and Refunds. See Section 10 for the refund window applicable to bootcamp purchases.

9. 1:1 Sessions, Workshops, and Add-Ons

9.1 Booking. 1:1 coaching sessions, clinical consultations, VOD review add-ons, and workshops are booked through the scheduling tools made available on the Platform, subject to Provider availability.

9.2 Rescheduling and Cancellation. You may reschedule a booked session up to 24 hours before its scheduled start without charge. Rescheduling attempts or no-shows with less than 24 hours' notice may forfeit the session or incur the full session fee, at the Provider's discretion. Refunds are only available if requested within 24 hours after services are purchased.

9.3 High-Tier Included Consultations. High-tier Members receive a set number of included monthly 1:1 clinical consultations, assigned across the practitioner team based on need. Unused included consultations do not roll over to a subsequent month and have no cash value, unless otherwise stated at checkout.

9.4 Session Delivery. Sessions are generally delivered by video or voice call through a third-party conferencing tool designated by the Provider or Neuroptima. You are responsible for having a stable connection and appropriate equipment.

10. Refunds and Cancellation Policy

10.1 Memberships. Membership subscription fees are non-refundable for time already elapsed in a billing cycle, except as required by applicable law. You will not be charged for cycles after an effective cancellation under Section 7.2.

10.2 Bootcamps. Bootcamp purchases may be canceled for a full refund within 24 hours of the time of purchase. After that 24-hour window closes, bootcamp fees are non-refundable, regardless of whether the cohort has begun, except where Company cancels or reschedules the cohort under Section 8.2 or as required by law.

10.3 1:1 Sessions and Add-Ons. Fees for individually booked sessions are refundable only if canceled in accordance with the notice window in Section 9.2, or if the Provider fails to appear for a scheduled session, in which case you will receive a full refund or a free rescheduled session, at your election.

10.4 Method of Refund. Approved refunds are issued to the original payment method within 30 days.

10.5 Chargebacks. Initiating a chargeback instead of contacting us first may result in suspension of your account pending resolution.

11. Founding Member Perks, Challenges, and Referral Program

11.1 Founding Member Discord Badge. A cosmetic Discord role/badge awarded to early Members has no cash value, is non-transferable, and may be modified or discontinued at our discretion without affecting your underlying subscription rights.

11.2 Product Challenges. Challenges to earn free Neuroptima products are governed by the specific rules posted for each challenge, including any eligibility, verification, and fulfillment requirements. We reserve the right to disqualify entries that violate those rules or these Terms.

11.3 Referral Program. Any referral program is governed by our separate Referral Program Terms, incorporated below this document, which may be updated or discontinued prospectively. We may withhold or reverse referral credits obtained through fraud, self-referral, or abuse.

12. Discord Community and User Conduct

12.1 Third-Party Platform; Shared Server. NPL's community channels currently operate as role-gated, tier-specific channels inside Neuroptima's existing Discord server, alongside channels used by Neuroptima's broader customer community. Discord is a platform owned and operated by Discord Inc., not Neuroptima. Your use of Discord, including that shared server, is also governed by Discord's own Terms of Service and Privacy Policy and by the general server rules presented when you join. Neuroptima does not control, and is not responsible for, Discord's security, uptime, or data practices.

12.2 Code of Conduct. In addition to the general server rules, while using NPL's Discord channels or any community feature you agree to the Neuroptima Performance Lab Discord Community Guidelines, available at this link and incorporated by reference. Among other things, you agree not to: harass, threaten, or discriminate against other Members, Coaches, or Practitioners; share another person's private information without consent; impersonate staff, Coaches, or Practitioners; solicit business unrelated to the Platform; attempt to book or pay a Coach or Practitioner outside the Platform for services of the kind offered through NPL; or share content that is unlawful, infringing, or sexually explicit involving a minor (which we will report to law enforcement and the National Center for Missing & Exploited Children as required by law).

12.3 Moderation. We, our Program Manager, and our Coaches may remove content, mute, or remove any user from NPL's channels for violating this Section or the Discord Community Guidelines, at our reasonable discretion, without entitling the user to a refund of unrelated subscription fees. Removal from NPL's channels is separate from, and does not necessarily affect, a user's standing in the broader Neuroptima Discord server, which is addressed by that server's general rules and moderation team.

13. User Content

13.1 You retain ownership of content you submit (for example, VODs submitted for review, tracking-template entries, or Discord posts) ("User Content"). You grant Neuroptima a non-exclusive, worldwide, royalty-free license to host, reproduce, and display User Content solely to operate and improve the Services, including sharing your submitted VODs or performance data with the Coach or Practitioner assigned to review them and using your User Content on Neuroptima-owned social media pages.

13.2 You represent that you have the rights necessary to submit your User Content and that it does not infringe or violate the rights of any third party.

13.3 Copyright Complaints. If you believe content on the Platform infringes your copyright, send a notice to performance@neuroptima.com, Attn: Copyright Agent, with the information required under 17 U.S.C. § 512(c)(3).

14. Intellectual Property

The Platform, including our name, logos, content library, protocols, guides, tracking templates, and software, is owned by Neuro Group LLC or its licensors and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access this content for your personal use during your active enrollment. You may not copy, redistribute, sell, or create derivative works from Company content without written permission.

15. Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NEUROPTIMA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT COACHING OR CLINICAL CONSULTATIONS WILL RESULT IN ANY PARTICULAR COMPETITIVE, HEALTH, OR PERFORMANCE OUTCOME, INCLUDING RANK IMPROVEMENT.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEUROPTIMA'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO NEUROPTIMA IN THE THREE MONTHS PRECEDING THE CLAIM. NEUROPTIMA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR THE ACTS OR OMISSIONS OF ANY INDEPENDENT PROVIDER, DISCORD, OR OTHER THIRD-PARTY TOOL USED TO DELIVER THE SERVICES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

17. Indemnification

You agree to indemnify and hold harmless Neuroptima, its officers, employees, and affiliated Providers from claims arising out of your violation of these Terms, misuse of the Services, or content you submit. Providers separately indemnify Neuroptima for claims arising from their professional services under their independent contractor agreements with us.

18. Dispute Resolution; Arbitration Agreement

18.1 Informal Resolution. Before filing a claim, you agree to contact us at performance@neuroptima.com so we can attempt to resolve the dispute informally for at least 60 days.

18.2 Binding Arbitration. Except for small-claims-eligible disputes or claims for injunctive relief regarding intellectual property, you and Neuroptima agree to resolve disputes through binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. Arbitration will be held in Scott County, Iowa, or another location the parties mutually agree on, or conducted by video/phone where permitted under the AAA's rules.

18.3 Class Action Waiver. You and Neuroptima agree to bring claims only in an individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

18.4 Opt-Out. You may opt out of this arbitration agreement by emailing performance@neuroptima.com within 14 days of first accepting these Terms, identifying your name and account email and stating you opt out of arbitration.

18.5 Minors. Where a parent or guardian is the contracting party under Section 2.2, this Section binds the parent or guardian.

18.6 Governing Law. These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles, except where preempted by the Federal Arbitration Act.

19. Term and Termination

We may suspend or terminate your access for violation of these Terms, non-payment, or conduct that endangers others. You may terminate by canceling your subscription. Sections that by their nature should survive termination (including Sections 5, 6, 13-18, and 20) will survive.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-Platform notice at least 14 days before taking effect for existing Members. Continued use after the effective date constitutes acceptance.

21. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any program-specific terms, constitute the entire agreement between you and Neuroptima regarding the Services.

Referral Program Terms

1. Overview

These Referral Program Terms govern the Neuroptima Performance Lab ("NPL") referral program (the "Program"), operated by Neuro Group LLC ("we," "us," or "our"). The Program is incorporated by reference into our Terms and Conditions. By participating, you agree to these Terms.

2. Eligibility

You must be an active, paying NPL Member in good standing to participate as a referrer. The person you refer (the "Referee") must be a new customer who has not previously held an NPL account or subscription.

3. How It Works

When a Referee signs up using your link or code and completes their first paid billing cycle (a free trial or unconverted signup does not qualify), both you and the Referee each receive an account credit, as agreed upon for any specific promotion, applied automatically toward your respective next NPL subscription billing cycle.

4. Tracking

We use cookies, referral links or codes, and similar tracking technologies — which may include advertising identifiers when this functionality is enabled — to attribute a Referee's signup to your referral. This tracking is described in our Privacy Policy, including Section 9 (Cookies and Tracking Technologies) and Section 12 (California Privacy Rights). If tracking cannot reliably confirm that a signup resulted from your referral, we may decline to issue the credit.

5. Form of Reward; No Cash Value

Referral credits are issued as account credit only. They have no cash value, cannot be redeemed for cash, are not transferable to another person or account, and cannot be combined with other promotional credits unless we state otherwise. If we ever change the Program to issue cash or other taxable compensation, we will collect any tax information required by law and may issue applicable tax forms (for example, IRS Form 1099) if your referral earnings exceed the applicable annual threshold.

6. Prohibited Activity

You may not: refer yourself using a second account or a household member's account for the primary purpose of obtaining credit; create fraudulent or fake accounts; use spam, paid advertising that misrepresents Neuroptima, or deceptive practices to generate referrals; or otherwise abuse the Program. We may withhold, reverse, or claw back credits, and suspend a Member's participation in the Program or their account, for violations of this Section.

7. Program Changes

We may modify the reward amount, eligibility criteria, or other terms of the Program prospectively, or discontinue the Program entirely, at any time. Credits already issued before a change or discontinuation will remain available for use toward a future billing cycle unless your account is suspended under Section 6.

8. Relationship to Other Terms

These Terms should be read together with our Terms and Conditions and Privacy Policy. In the event of a conflict specific to the Program, these Terms control.
